Terms of Service

1. Acceptance of Terms

By accessing or using the Addvark platform (the "Service"), including the web application, Desktop Worker, and Mobile App, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Service Description

Addvark provides automated radio ad play detection and verification. Agencies upload ad files, which are processed with audio recognition technology. Radio stations install monitoring software that detects when ads are played. Detection results are reported to both parties via dashboards and reports.

3. Eligibility

You must be at least 18 years old and authorized to act on behalf of the organization you register. Agency accounts require a valid advertising agency or media buying entity. Station accounts require authorization from the radio station's management.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your login credentials, all activity under your account, and ensuring that your use complies with applicable laws. You must notify us immediately of any unauthorized access.

5. Acceptable Use

You agree not to:

• Upload content you do not have rights to use
• Attempt to interfere with, disrupt, or circumvent the detection system
• Use the Service to harass, defame, or harm others
• Reverse-engineer, decompile, or extract source code from the Service
• Share login credentials or allow unauthorized access
• Use automated tools to scrape or extract data beyond normal use

6. Ad Files & Intellectual Property

You retain ownership of all ad files you upload. By uploading, you grant Addvark a non-exclusive license to process and store the file for the purpose of detection. We do not use your ad files for any other purpose. Detection data derived from your files is used solely for matching during monitoring.

7. Play Event Data

Play event records are the core output of the Service. They are created automatically by the detection system and are immutable — once created, they cannot be modified or deleted by any party. This immutability is a feature, not a limitation: it ensures the integrity and trustworthiness of the verification record.

8. Billing & Payments

Agency accounts are billed according to their selected plan. Fees are charged monthly. Failure to pay may result in suspension of service. Stations use the Service at no cost. Prices are subject to change with 30 days' notice.

9. Dispute Resolution

The Addvark platform includes a dispute resolution feature for disagreements between agencies and stations about play events. While we provide the data and tools, we do not act as an arbiter. Disputes are resolved between the parties using the evidence available on the platform.

10. Limitation of Liability

Addvark provides the Service "as is" without warranties of any kind. While we strive for high accuracy, we do not guarantee 100% detection of all ad plays. We are not liable for missed detections, false positives, or any indirect damages arising from use of the Service. Our total liability is limited to the fees you paid in the 12 months preceding the claim.

11. Termination

Either party may terminate the agreement at any time. Upon termination, your access to the dashboard and reports is revoked. Play event records are retained as part of the permanent verification record. You may request export of your data before termination.

12. Governing Law

These Terms are governed by the laws of the Republic of Uganda. Any disputes shall be resolved in the courts of Kampala, Uganda.
